LEGAL NOTICE OF SALE OF REAL ESTATE

AND INSTRUCTIONS TO BIDDERS

Notice is given hereby pursuant to IC 36-1-11-4 that the City of Hammond (the “”City””) will consider written offers to purchase vacant land owned by the City. The land is made up of certain parcels of real estate more particularly depicted and/or described on Exhibit “”B”” (the “”Property””). Bids will begin being received on February 9, 2023, at 9:00 a.m. and will continue to be accepted until 4:30 p.m. on Wednesday, March 1, 2023. Bids shall be made on a form available at the Law Department, 5925 Calumet Avenue, Room 320, Hammond, IN 46320. The Law Department is opened to accept bids from 9:00 a.m. until 4:00 p.m. Monday through Friday. The City will announce the bids at 9:00 a.m., local time, on Thursday, March 2, 2023, in the Board of Public Works and Safety meeting. The announcement of the bids are open to the public. The offer by the City for sale of the Property is made on the conditions set forth below (the “”Conditions for Sale””).

Use: Bidder shall supply sufficient information relating to any proposed

improvements and/or proposed use of the Property.

Due Diligence Items: The Property is available for inspection and survey to all prospective bidders. Any tests or inspections wished to be performed shall be made known to the City and must be approved before proceeding.

AS IS: The Property is being sold AS IS.

Acquisition Date: The purchase of the Property must be closed no later than 60 days after awarding the bid or as otherwise mutually agreed upon.

Minimum Bid: The Property is being offered at a minimum price as follows:

The City has caused to be prepared the exhibits listed below (the “”Exhibits””), and will make all of the exhibits available at the Law Department at the address listed above for examination and use by all interested persons. This notice, together with the Exhibits and any additional information, constitutes the “”Bid Package.””

Each written bid must: (a) include all of the information requested in the Legal Notice; (b) if submitted by a trust (as defined in Ind. Code 30-4-1-1 (a)), identify: (i) each beneficiary of the trust; and (ii) each settler empowered to revoke or modify the trust; (c) be received in its entirety at the Law Department on or before 4:30 p.m., local time, on March 1, 2023, including an email address; and (d) include a cashier’s check in the amount of 1% of their bid payable to the order of City of Hammond. (the “”Offer Requirements””). Any unsuccessful bidder will have their check returned to them. Each bidder shall submit an original and one copy of its bid. All other documents and other information, if any, submitted with the bid shall be retained by, and shall become the property of the City. Please note that in conformance with I.C. 36-1-11-4 the bids are open to public inspection. A bidder may raise the bidder’s bid, but that raise shall only take effect after other bidders have been given written notice of that raise, which may be made by electronic means. The City is not responsible for confirming receipt of said written notice to other bidders and transmission of said notice to other bidders by electronic means (e-mail) shall be deemed receipt by the other bidders.

The City reserves the right to: (a) consider or reject without consideration any bids that do not satisfy the Offer Requirements; (b) reject any or all bids; and (c) make an award to the highest and best bidder. In determining the highest and best bidder, the City shall take into consideration the following.

(a) The amount of the bid and contact information. Any bid must supply the City with an email address for receipt of any notices. Failure to provide an email address may subject the bid to be rejected.

(b) The general business reputation of the bidder.

(c) The financial resources committed and available to fund the bid (cash offer versus financed offer for example);

(d) The proposed use of the Property and the compatibility of such plans with the neighboring area.

Any other factors that the City determines to be important in carrying out and serving its statutory obligations and mission including but not limited to the economic and community impact of the bid.

A successful bidder will be required to execute a negotiated Purchase Agreement with the City, committing the bidder to: (1) Finalize the purchase of the Property within sixty (60) days; and (2) fulfilling the commitments made by the bidder in its Offer including the information provided regarding its use of the Property. The Property may not be sold to a person or entity who is ineligible under IC 36-1-11-16.
