NOTICE Notice is hereby given that a public meeting of Borough Council (“Council”) of the Borough of Tullytown (“Borough”), Bucks County, Pennsylvania, will be held on Tuesday, April 13, 2021, at 7:00 p.m., prevailing time, in the Borough Municipal Building, located at 500 Main Street, Tullytown, Pennsylvania 19007, or such other time and public location of said Council lawfully held not less than three (3) nor more than thirty (30) days after the date hereof, at which the Council will consider for enactment an Ordinance related to the issuance of certain proposed bonded indebtedness of the Borough a summary of which Ordinance is set forth in the caption below. The public’s access to the meeting shall be exclusively by virtual means. The public can participate in the meeting pursuant to instructions contained on the Borough’s website. AN ORDINANCE OF THE BOROUGH COUNCIL OF THE BOROUGH OF TULLYTOWN (“BOROUGH”), BUCKS COUNTY, PENNSYLVANIA, AUTHORIZING AND DIRECTING THE ISSUANCE OF A TAXABLE GENERAL OBLIGATION NOTE, SERIES OF 2021 (THE “2021 NOTE”) IN AN AMOUNT NOT TO EXCEED THE AGGREGATE PRINCIPAL AMOUNT OF $2,500,000 PURSUANT TO THE LOCAL GOVERNMENT UNIT DEBT ACT OF THE COMMONWEALTH OF PENNSYLVANIA, 53 PA.C.S. CHS. 80-82 (THE ACT); PROVIDING THE PROCEEDS OF THE 2021 NOTE SHALL BE APPLIED TO CARRY OUT THE FUNDING OF THE BOROUGH’S UNFUNDED ACCRUED ACTUARIAL LIABILITY PROJECT; DETERMINING THAT THE SALE OF THE NOTE SHALL BE A PRIVATE SALE UNDER THE ACT, AND DETERMINING THAT THE NOTE SHALL BE NONELECTORAL DEBT OF THE BOROUGH; SETTING FORTH THE MATURITY DATES, PRINCIPAL MATURITIES AND CURRENT INTEREST RATES OF THE NOTE AND ESTABLISHING A REQUIRED SCHEDULE OF PAYMENTS WITH RESPECT TO THE SINKING FUND, IN ORDER TO AMORTIZE THE NOTE; ESTABLISHING THE REDEMPTION PROVISIONS; ACCEPTING BIDS FOR PURCHASE OF THE NOTE AND AUTHORIZING EXECUTION OF THE NOTE PURCHASE AGREEMENT; DESIGNATING A PAYING AGENT AND REGISTRAR; MAKING CERTAIN COVENANTS WITH RESPECT TO THE TAX STATUS OF THE 2021 NOTE; ESTABLISHING THE SUBSTANTIAL FORM OF THE NOTE; AUTHORIZING EXECUTION AND AUTHENTICATION OF THE NOTE; COVENANTING TO PAY THE PRINCIPAL OF AND INTEREST ON THE NOTE AND PLEDGING THE FULL FAITH, CREDIT AND TAXING POWER OF THE BOROUGH TO SUCH PURPOSE; ESTABLISHING SINKING FUND FOR THE NOTE AND AUTHORIZING AND DIRECTING PAYMENT THEREFROM; DESIGNATING A SINKING FUND DEPOSITORY; SETTING FORTH CERTAIN RIGHTS OF THE PAYING AGENT AND NOTEHOLDER IN THE EVENT OF DEFAULT AND OTHER RIGHTS OF THE PARTIES WITH RESPECT TO THE NOTE; PROVIDING FOR THE CIRCUMSTANCES UNDER WHICH THE ORDINANCE MAY BE AMENDED OR MODIFIED; PROVIDING FOR THE TERMS, CONDITIONS AND AUTHORIZING AND DIRECTING SPECIFIED OFFICERS OF THE BOROUGH TO DO AND PERFORM CERTAIN SPECIFIED, REQUIRED OR APPROPRIATE ACTS; AUTHORIZING THE EXECUTION OF DOCUMENTS FOR SETTLEMENT AND THE PAYMENT OF ISSUANCE EXPENSES; DECLARING THAT THE DEBT TO BE INCURRED IS WITHIN THE LIMITATION IMPOSED BY THE ACT UPON INCURRING OF SUCH DEBT BY THE BOROUGH; PROVIDING FOR SEVERABILITY OF PROVISIONS OF THE ORDINANCE; PROVIDING FOR REPEAL OF ALL ORDINANCES OR PARTS OF ORDINANCES SO FAR AS THE SAME SHALL BE INCONSISTENT; PROVIDING WHEN THIS ORDINANCE SHALL BECOME EFFECTIVE. A copy of the full text of the Ordinance may be examined or inspected by any citizen in the Office of the Borough Secretary, such office being located at 500 Main Street, Tullytown, Pennsylvania, on any regular business day between the hours of 8:30 a.m. and 4:00 p.m. prevailing time. The Ordinance is also available to review on the Borough’s website at www.tullytownborough.com. It is expected that the aggregate principal amount of the Bonds will not exceed $2,500,000 but the exact principal amount will not be known until the successful bid is presented and acted upon. Amendments may be made in the Ordinance prior to enactment. This Notice is given in accordance with the requirements of and in compliance with Section 8003 of the Local Government Unit Debt Act, 53 Pa.C.S.Chs. 80-82.
